Conditions

We believe great work comes from mutual respect, honesty, and clear communication. While these terms cover the legal stuff, what matters is our shared commitment to creating something meaningful together.

These Standard Terms apply to all service agreements with BairStories (DBA of DANAMI LLC) unless specifically modified in writing.

Independent Contractor Relationship

BairStories is an independent contractor, not an employee, partner, or agent of Client. This relationship affects tax obligations, benefits, and legal responsibilities. Each party is responsible for their own taxes, insurance, and business expenses.

Professional Conduct

We maintain a harassment-free professional environment. Harassment includes but is not limited to: offensive comments, unwelcome advances, intimidation, or discriminatory behavior. If our team experiences harassment:

  • First incident: We'll request corrective action
  • Second incident: We may terminate the agreement and retain full payment

Non-Solicitation

During our engagement and for one year after, Contractor agrees not to directly solicit for hire any Client employee, contractor, or vendor introduced through this engagement.

Communication & Notices 

Official notices may be sent via:

  • Email to the addresses in our agreement
  • Certified mail to the listed addresses
  • Recognized shipping carriers (FedEx, UPS)

Email notices are effective if no bounce-back occurs within 24 hours. Both parties must keep contact information current.

Limitation of Liability

Except for willful misconduct or gross negligence:

  • Neither party is liable for indirect, incidental, or consequential damages
  • Neither party is liable for lost profits or opportunities
  • Contractor's total liability cannot exceed the fees paid under the agreement

Indemnification

Each party protects ("indemnifies") the other from claims arising from:

  • Their negligence or misconduct
  • Breach of the agreement
  • Violation of laws or regulations Infringement of intellectual property rights

Dispute Resolution

For any disputes:

  • Governing Law: Minnesota law applies
  • Venue: Legal proceedings occur in Minnesota courts
  • Good Faith: Parties attempt resolution through discussion first
  • Legal Fees: The Prevailing party may recover reasonable attorney fees

Force Majeure

Neither party is liable for delays beyond their reasonable control, including:

  • Natural disasters ("Acts of God")
  • War, terrorism, or civil unrest
  • Pandemic or epidemic
  • Government actions
  • Labor strikes
  • Infrastructure failures

The affected party must promptly notify the other and work to minimize the impact.

Intellectual Property

  • Pre-existing IP: Each party retains rights to their pre-existing materials
  • Client Materials: Client retains all rights to materials they provide
  • Third-Party Rights: Neither party will use materials that infringe others' rights
  • Moral Rights: Where applicable, Contractor waives moral rights in deliverables

Data Protection

Both parties agree to:

  • Handle personal data in compliance with applicable privacy laws
  • Use appropriate security measures
  • Notify the other of any data breaches promptly
  • Delete or return data upon request

Insurance

Contractor maintains appropriate business insurance including general liability and professional liability coverage.

Export Compliance

Both parties comply with applicable export laws and regulations. Neither will exports deliverables be delivered to prohibited countries or entities.

Assignment

Neither party may assign the agreement without written consent, except:

  • To an affiliate or successor organization
  • As part of a merger or acquisition

General Provisions

  • Entire Agreement: Written agreement supersedes all prior discussions
  • Amendments: Changes require written agreement signed by both parties
  • Severability: If any provision is invalid, others remain in effect
  • Waiver: Not enforcing a right doesn't waive that right
  • Interpretation: Headers are for convenience only
  • Counterparts: Electronic signatures and separate signature pages are valid

Survival

These sections survive termination: Confidentiality, Ownership Rights, Limitation of Liability, Indemnification, and any payment obligations.

Expense Reimbursement

Client reimburses pre-approved expenses within 15 days of receiving the itemized invoice. Expenses over $250 require prior written approval.

Legal Compliance

Both parties maintain all required licenses and comply with applicable laws, regulations, and industry standards.
